Please read these Terms and Conditions ("Terms," "Terms and Conditions") carefully before using the www.lrbrainsolutions.com website and the tutoring services (the "Services") operated by LRBrain LLC (operating as "L.R. Brain Solutions," "us," "we," or "our").

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Services.

1. Definitions

"Services" refers to the online group tutoring and mentorship services, including access to our platform, AI-enhanced tools, materials, and communication tools, provided by L.R. Brain Solutions. Our services are designed to instill effective learning habits, foster personal development skills, and build thriving, positive online communities.
"User," "You," "Your" refers to the individual or entity accessing or using the Services, including parents, guardians, and students.
"Student" refers to the individual receiving tutoring services. Our target audience includes K-12 students, adult learners seeking professional development, and college students.
"Parent" or "Guardian" refers to the legal parent or guardian of a Student, who is responsible for the Student's account and activities on the Services.
"Tutor" refers to an employee of L.R. Brain Solutions who provides tutoring and mentorship services through our Platform. Our tutors are highly skilled educators who are compensated with a living wage and leverage AI to enhance efficiency.
"Platform" refers to our website, applications, and any other technology used to deliver our Services, which integrates AI to reduce tutor preparation time and enhance learning experiences.

2. Eligibility and Account Registration

Account Holders: To access and use our Services, you must register for an account. If you are a student under the age of 18, a parent or legal guardian must register and manage the account on your behalf and assume full responsibility for your use of the Services, consistent with our Children's Privacy Policy.
Parent/Guardian Responsibility for Minors: By creating an account for a minor, the parent or guardian represents and warrants that they are the legal parent or guardian of the minor and agree to be bound by these Terms on behalf of the minor. The parent/guardian is responsible for supervising the minor's use of the Services, ensuring the accuracy of all information provided, and for all financial obligations and conduct of the minor on the Platform.
Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password, whether your password is with our Services or a third-party service. You agree not to disclose your password to any third party. You must notify us immediat1ely upon becoming aware of any breach of security or unauthorized use of your account.

3. Tutoring Services

Nature of Services: L.R. Brain Solutions provides high-quality online group tutoring. Our unique model fosters genuine community and combats loneliness. We offer expert-led instruction, particularly in STEM and specialized arts subjects, and our sessions are designed to instill effective learning habits using mastery-based learning and foster critical personal development skills. We do not guarantee specific academic results or outcomes. Tutors are our employees, and while we strive to provide high-quality matches, we are not responsible for the direct actions, omissions, or conduct of tutors during sessions, except as directly related to our Platform's functionality.
Group Model: Our optimized group model consists of small groups of three students, balancing individualized attention with the benefits of peer interaction and collaborative learning.
Pedagogical Approach: Our sessions are structured using the "Play-Practice-Play" model, beginning with engaging activities, moving to targeted learning, and concluding with application in game-like scenarios to solidify understanding. Our AI tools assist in identifying knowledge gaps and providing tailored practice.
Scheduling and Cancellations: All tutoring sessions must be scheduled and managed through our Platform. Cancellation policies (e.g., required notice period, fees for late cancellations or no-shows) will be clearly communicated during the scheduling process or on a dedicated policy page. You agree to adhere to these policies.
Communication: All communication regarding scheduling, session content, and payment should primarily occur through our Platform's designated communication tools.
Prohibited Conduct: You agree not to engage in any inappropriate, abusive, harassing, or unlawful behavior during tutoring sessions or communications with tutors or other users. This includes, but is not limited to, sharing illegal content, discriminatory remarks, or attempting to solicit tutors outside of the L.R. Brain Solutions Platform.

4. Payments and Fees

Pricing: Our small group tutoring is offered at an affordable rate of $50/hour, or $75 per 1.5-hour session. This is a significant advantage compared to personalized 1:1 services which can range from $100 per hour with competitors like Varsity Tutors or Learner.com's lowest rate of $55.

Monthly Plan: $330/month
Semester Plan: $1,350 per semester (equivalent to $270/month for 5 months)
Yearly Plan: $2,400 per school year (equivalent to $240/month for 10 months)

Payment Terms: All fees for Services are listed on our Platform and are subject to change. Prices will be confirmed at the time of booking. Payments are processed through a secure third-party payment processor. You agree to provide valid payment information and authorize us to charge your selected payment method for all fees and charges incurred in connection with your account.
Refunds: Our refund policy will be clearly outlined on a separate policy page or communicated at the time of purchase. Generally, refunds may be offered under specific conditions (e.g., technical issues on our part, tutor no-show).
Taxes: You are responsible for any applicable taxes associated with your use of the Services.

5. User Content

Your Content: You retain all rights in, and are solely responsible for, the content you submit, post, or display on or through the Services ("User Content").
License to L.R. Brain Solutions: By submitting User Content, you grant L.R. Brain Solutions a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and L.R. Brain Solutions' (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. This license is limited to the purpose of operating, developing, providing, and improving the Services and for promotional purposes related to the Services.
Prohibited Content: You agree not to upload, post, or transmit any User Content that is illegal, offensive, harmful, defamatory, infringing, or violates the rights of any third party. We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

6. Intellectual Property

Our Content: The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of L.R. Brain Solutions and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of L.R. Brain Solutions.
Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms.

7. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

L.R. Brain Solutions and its subsidiaries, affiliates, and licensors do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requireme2nts.

9. Limitation of Liability

In no event shall L.R. Brain Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contrac3t, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

10. Indemnification

You agree to defend, indemnify, and hold harmless L.R. Brain Solutions and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms; or c) content posted by you on the Services.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services and supersede and replace any prior agreements we might have had between us regarding the Services.

12. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
